1. Acceptance of Terms

3. User Obligations

By using our website and services, you agree to:

  • Provide accurate, current, and complete information when submitting forms or engaging our services.
  • Use our website and services only for lawful purposes and in accordance with these Terms of Service.
  • Not engage in any activity that could damage, disable, or impair the functioning of our website or interfere with any other party's use of the website.

4. Intellectual Property

All content on the Digital Inning website, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Digital Inning or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website without our prior written consent, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your web browser for display enhancement purposes.

For client projects, the ownership and usage rights of deliverables will be defined in the specific service agreement between Digital Inning and the client. Unless otherwise agreed in writing, Digital Inning retains the right to showcase completed work in its portfolio.

5. Payment Terms

The following payment terms apply to all service engagements with Digital Inning:

  • Quotations: All quotations provided by Digital Inning are valid for 30 days from the date of issuance unless otherwise stated.
  • Payment Schedule: Payment terms, including any advance payments, milestone payments, or recurring fees, will be outlined in the specific service agreement or proposal.
  • Late Payments: Invoices are due within the timeframe specified in the service agreement. Late payments may result in suspension of services and may incur additional charges as outlined in the agreement.
  • Taxes: All fees quoted are exclusive of applicable taxes unless explicitly stated otherwise. The client is responsible for all applicable taxes, including GST.
  • Refunds: Refund policies will be outlined in the specific service agreement. Generally, payments for work already completed or in progress are non-refundable.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Digital Inning shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our website or services, regardless of the cause of action or the theory of liability.

Digital Inning does not guarantee specific results from the use of our digital marketing services. Search engine rankings, website traffic, conversion rates, and other performance metrics are influenced by numerous factors beyond our control, including but not limited to search engine algorithm changes, market conditions, and competitor activities.

Our total liability for any claim arising out of or relating to these Terms of Service or our services shall not exceed the total amount paid by you to Digital Inning for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

7. Termination

Either party may terminate a service engagement in accordance with the terms outlined in the specific service agreement. In the absence of such terms, the following conditions apply:

  • Termination by Client: You may terminate a service engagement by providing written notice to Digital Inning. You will be responsible for payment of all services rendered up to the date of termination.
  • Termination by Digital Inning: We may terminate or suspend a service engagement immediately if you breach any of these Terms of Service or the specific service agreement, fail to make timely payments, or engage in conduct that we reasonably determine to be harmful to our business or reputation.
  • Effect of Termination: Upon termination, all rights and licences granted to you under these terms will immediately cease. Any provisions of these terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property, limitation of liability, and governing law provisions.

We also reserve the right to restrict or terminate your access to our website at any time, without notice, for any reason, including but not limited to a violation of these Terms of Service.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Rajkot, Gujarat, India.

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue legal remedies as permitted under applicable law.
